This Nondisclosure and Non-Compete Agreement between Client (making the purchase through Global P.R.E.P. LLC) and Global P.R.E.P. LLC (collectively, “Global P.R.E.P LLC”) is made and entered into effective as of date of purchase.

Whereas, Global P.R.E.P. LLC has developed a model, strategy and business plan for face-to-face consultations, phone consultations; Entertainment Industry manuals for the American Actor, International Actor and Parent’s with Child Actors; and seminars to serve the Actor moving to Hollywood, setting up / getting established in the Hollywood Entertainment Industry.

Whereas, Client desires to utilize the services, contacts and model, strategy and business plan of Global P.R.E.P. LLC to carry out its advisory and marketing purposes.

Now, therefore, the parties have agreed as follows in consideration of Global P.R.E.P. LLC’s providing such services and opportunities to Client:

  1. Non-Disclosure. Client acknowledges that Client has access to private or confidential information of Global P.R.E.P. LLC including its manual content, face-to-face and phone consultation content, seminar content; marketing; its contacts and relationships with other entertainment industry professionals, civic and business leaders and celebrities; its research and development programs; its intellectual property and trade secrets and other proprietary information or date (collectively, the “Confidential Information”). Client and its employees and agents shall keep any and all Confidential Information confidential, shall not release, reveal, or disclose any portion thereof to any third party without the prior written consent of Global P.R.E.P. LLC and shall use the Confidential Information only for the purpose of its individual business operations with Global P.R.E.P. LLC. Client will not duplicate Confidential Information, use it at any tie to provide, perform or furnish any services that would compete with or be used in lieu of Global P.R.E.P. LLC’s services or products.
  2. Restrictive Covenants. Client agrees that during the term of its relationship with Global P.R.E.P. LLC and for a period of two (2) years thereafter, Client will not, without the prior written consent of Global P.R.E.P. LLC, directly or indirectly, or in any capacity (whether as a promoter, proprietor, partner, joint venturer, agent, consultant, significant shareholder or otherwise) engage in any business similar to or competitive with any business engaged in by Global P.R.E.P. LLC in connection with face-to-face &/ or phone consultations, manuals or seminars in Global P.R.E.P. LLC’s worldwide operations. Client further agrees that Client will not, during the term of its relationship with Global P.R.E.P. LLC and for a period of two (2) years thereafter, solicit, entice, persuade or induce, directly or indirectly, any employee, client or customer of Global P.R.E.P. LLC, or any sponsor, civic or business leader or celebrity contact of Global P.R.E.P. LLC to terminate, alter or refrain from extending or renewing any contractual or other relationship of such employee, client or customer with.
  3. Miscellaneous. This agreement may not be amended or altered except by written agreement signed by both of the parties. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remaining provision shall nevertheless continue in full force without being impaired or invalidated in any way. This Agreement shall be governed by and construed in accordance with the laws of the State of California (without regard to application of California’s principles of conflict laws), and the exclusive venue of the resolution of any disputes, arbitrations or legal actions between the parties relating to this Agreement shall be in the federal or the state courts located worldwide. This Agreement shall survive and shall be binding on, inure to the benefit of and be enforceable by respective successors, and assigns of the parties. This Agreement may be executed in counterparts, each of which, when so executed and delivered, shall be deemed to be an original, but all such counterparts taken together shall constitute but one in the same Agreement. The parties agree that the acceptance of the terms and conditions electronically make this Agreement valid and enforceable.


The parties have duly executed and delivered this Agreement as of the date and year of product or service purchase through the Global P.R.E.P. website.

Availability of and guest speakers at the seminar is subject to change, modification or cancellation with or without notice.

Refund Policy

There are no refunds on Global P.R.E.P’s products or services.

Credit Policy

In the event that notice of cancellation is made 3 weeks prior to engagement (for seminars) or within 48 hours (for consultations), Global P.R.E.P. will issue a credit to the client’s account. Notice of cancellation or withdrawal and any requests for credits must be made in writing and given to a consultant 3 weeks hours prior to the seminar engagement, or 48 hours prior to the consultation engagement. If notice is not made 3 weeks prior to the seminar, or 48 hours prior to the consultation, no credits will be given. Global P.R.E.P. will also make every effort to allow credits when possible, and credits are subject to availability. Weekends do not apply as notice of cancellation.
